STANDARDNÍ OBCHODNÍ PODMÍNKY PRODEJE

1. ACCEPTANCE OF ORDERS:

All orders are subject to acceptance by Shanghai Huijun Industrial Ltd. (hereinafter referred to as "Seller"). Acceptance is contingent upon Buyer's agreement to these Standard Terms and Conditions of Sale. Spot Order price valid only 5 Days, in case of sudden PO placed by others , need re-check before place PO. 

2. PRICES:

Prices are as stated in the Seller's quotation , if any change due to  force majeure, we would update according to real situation.

3. PAYMENT:

Payment terms are net 5 days from the date of the invoice, unless otherwise specified in writing by the Seller. Late payments are subject to interest charges of 4.5% per month on the unpaid balance.

4. DELIVERY:

Delivery dates are estimates and are not guaranteed. Seller shall not be liable for delays in delivery or for failure to perform due to causes beyond its control.

5. TITLE AND RISK OF LOSS:

Title to the goods shall pass to the Buyer upon full payment. Risk of loss or damage shall pass to the Buyer upon delivery.

6. WARRANTY:

Seller warrants that the goods sold shall conform to the specifications provided by Seller. Seller makes no other warranties, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

7. LIMITATION OF LIABILITY:

In no event shall Seller be liable for any consequential, incidental, indirect, special, or punitive damages arising out of or related to the sale of goods.

8. INSPECTION AND ACCEPTANCE:

Buyer shall inspect the goods upon receipt. Any claims for defects, shortages, or non-conformance must be made in writing within 15 days of receipt.

9. GOVERNING LAW:

This Agreement shall be governed by and construed in accordance with the laws of China, without regard to its conflicts of law principles.

10. ENTIRE AGREEMENT:

These Standard Terms and Conditions of Sale constitute the entire agreement between the parties and supersede all prior oral or written agreements, understandings, or representations.

11. AMENDMENTS:

No amendment or modification of this Agreement shall be valid unless in writing and signed by both parties.
